MW HELICOPTERS LTD (“MWH”) is a world leading specialist in the maintenance and overhaul of Gazelle helicopters as well as helicopter sales, maintenance, supply of spares, helicopter training and helicopter hire with a turnover of c£1,265,000 to April 2019. MWH is based at Stapleford Aerodrome (which is in easy reach of the M25 and M11 motorways), from where its experienced team of engineers, parts, accounts, avionics and quality assurance personnel provide a highly sought after service including bespoke software for the tracking and recording of helicopter data, the supply of spare parts for civilian and ex-military helicopters, the complete refurbishments of aircraft exterior paint and interior with executive trim and replacement & upgrade of aircraft avionics / radio stations with newer or more modern equipment.
The Company retains a number of CAA approvals including those for the maintenance of Gazelle, Agusta and Bell helicopters as well as the right, in relation to those helicopters, to issue and renew Airworthiness Review Certificates (ARCs) as well as approval for Continuing Airworthiness Management. In addition to the above, MWH is the only company in the UK that currently holds CAA E4/M5 approvals for the Ex-MOD Gazelle Helicopters and which enables it to provide Initial CAA Certification & all Scheduled / Unscheduled Maintenance Services for these helicopters.
MWH has contracts with national and international companies for major 3200 HR / 12 yearly inspection, recondition and service on airframe and dynamic components, including the provision of all spare parts, labour and consumables in accordance with UK Civil Aviation Authorities (CAA) Airworthiness Maintenance Requirements for ex-military Gazelle helicopters, for the overhaul, repair and maintenance of various Gazelle components and provides maintenance and servicing requirements for a UK and European customer base of 35 Helicopters (with the latter on its own providing an average annual turnover of £1,200,000.
SALES: MWH has sourced and sold helicopters from around the world including Australia, South Africa, Japan, United States, Canada, Russia, Europe and Baltic States and during a 23 year period has sold 88 helicopters which has contributed £22,500,000 to turnover.
HELICOPTER FLEET: MWH currently owns its own fleet of helicopters including two fully operational AS355F1 (Twin Squirrel). In addition, the Company owns a fleet of helicopters that require repair or overhaul and which combined, have an estimated value of c£2,400,000 (full details available).
STOCK OF SPARE PARTS: In addition to its fleet of helicopters, MWH provides a full service and maintenance operation for its customer’s fleet and retains a full spectrum of spare parts which are currently estimated to be £1,800,000 in value at cost (full details available).
EXCEL CHARTER LTD (“ECL”) was established 5 years after MWH and provides regulated activities for air charter services and training and retains an experienced team including an Accountable Manager, a Chief Pilot, Line Pilots, Training Captain and Operations Managers. Although a separate entity, ECL operates on the same site as MWH and companies work in close association with each other. Investment and resources have been employed to achieve a well-respected Charter Organisation. The company generated a turnover of c£555,000 in the year to April 2019.
The Company retains a number of CAA/EASA approvals including an Air Operators Certificate (AOC) and the issue of Airworthiness Review Certificates as well as approval for Continuing Airworthiness Management (ARCs) for Gazelle, Twin Squirrel and Agusta helicopters
CONTRACTS & CUSTOMERS: ECL was responsible for all helicopter operations during the 2012 Olympic Games in England including the contract for all the aerial filming operations at the London Olympics.
Other contracts and customers include various terrestrial and digital television and media companies, racing circuits, international financial services companies, national utilities, gift experience day companies, aerial film companies and private and commercial air charter businesses.
As a result of the unexpected and sudden passing of the owner and figurehead of the business, the family has made the difficult decision to sell the business. Seeking a buyer for both of the businesses on a going concern basis (to maintain the benefit of the CAA certification) or, failing a successful sale, to sell the assets and goodwill on a break up basis. Whilst it would be a preference to sell both businesses together, it is not a pre-requisite of the sales process.
Please note that whilst no formal closing date has yet been set for the date by which offers must be received, it is the intention to conclude a sale within 8 -10 weeks to allow for a significant period of due diligence to be undertaken. Therefore, only parties that are able to work within this time frame should respond.

Preference will be given to companies or individuals currently operating within a similar market or with detailed understanding of aviation as knowledge of the industry is likely to be critical the future success of the business.
